1. Introduction & Agreement

Welcome to LaunchPad Studio. These Terms of Service ("Terms") govern your access to and use of our website, located at launchpadstudio.co.za, and the services we provide, including website design, development, maintenance, and consulting (collectively, the "Services"). By engaging with our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use our Services.

2. Our Services

LaunchPad Studio provides professional website design and development services primarily for businesses in Africa. Our offerings include, but are not limited to:

• Custom website design and development.
• The "Demo First" promise, where we build a live demo of your website for your approval before any payment is required.
• Domain registration and web hosting setup.
• Basic Search Engine Optimization (SEO) setup.
• Optional ongoing website maintenance and support plans.

The specific scope of work, deliverables, and timelines for your project will be outlined in a separate project proposal or agreement.

3. Client Obligations

To ensure a successful and timely project, you agree to:

• Provide Content: Supply all necessary text, images, branding materials, and other content required for the website in a timely manner. Delays in providing content may result in project delays.
• Provide Feedback: Offer clear and timely feedback during the design and revision stages, particularly after the "Demo First" reveal.
• Authority: Warrant that you have the legal right and authority to enter into this agreement and that all materials provided do not infringe on any third-party copyrights or trademarks.

4. Payments and Fees

Our payment structure is designed to be risk-free for our clients:

• No Upfront Payment for Demo: We will build the initial live demo of your website at no cost.
• Payment upon Approval: Full payment for the website design project is due only after you have reviewed and approved the live demo. Work on final development, optimization, and launch will commence once 50% of the full payment is received.
• Additional Services: Fees for ongoing maintenance, hosting renewals (after the first year), or other services will be billed as agreed upon in your service plan.

5. Intellectual Property Rights

• Client Ownership: Upon receipt of full payment, you, the Client, will own the copyright to the final, assembled website design and its unique content. You will be granted full access and ownership of the completed website.
• Studio's Rights: We retain the right to use the completed project and any preliminary designs for the purpose of marketing, portfolio display, and promotional activities. We also retain ownership of any pre-existing code, tools, or technology used to create the website.

6. Limitation of Liability

LaunchPad Studio will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising in connection with our Services. Our total liability to you for any and all claims arising from the use of our Services is limited to the total amount of fees you have paid to us for the specific project in question.

7. Termination

Either party may terminate the service agreement if the other party commits a material breach of these Terms. If you choose not to proceed after the "Demo First" reveal, there is no financial obligation. Once a project is paid for and completed, any termination of ongoing services (like maintenance) must be provided in writing with 30 days' notice.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.
